COMPLAINT:

On April 10, 2008, NFA issued a Complaint charging MCC with allowing an unregistered individual to act in a capacity requiring registration as an AP. The Complaint charged MCC and Parker with willfull submission of materially false or misleading information to NFA. The Complaint further charged Parker with failure to uphold high standards of commercial honor and just and equitable principles of trade. In addition, the Complaint charged MCC and Lewis with making deceptive and misleading sales solicitations. Finally, the Complaint charged MCC, Parker and Burbage with failing to diligently supervise employees and agents in the conduct of their commodity futures activities.

DECISION:

On August 18, 2008, Burbage was ordered not to apply for NFA membership, associate membership or principal status with any NFA Member for one year.

Should Burbage be granted NFA membership, associate membership or principal status with any NFA Member following the one-year bar, he must pay a $10,000 fine within 30 days after he is granted NFA membership, associate membership or principal status with any NFA Member.

Burbage must tape record any and all conversations with customers or prospective customers for one year. In addition, Burbage shall cause any and all APs sponsored by any Member of which he is a principal during the one-year period to tape record any and all conversations with customers or prospective customers and promptly produce such records to NFA, in a manner in which the participants and dates of the conversations can be readily identified. Only periods during which Burbage is an NFA Member or a principal or an Associate of an NFA Member will be counted.

Parker was ordered to withdraw from Associate NFA membership and principal status with any and all NFA Members on or before January 30, 2009 and not apply for Associate NFA membership for five years from the date of his withdrawal. Parker was also ordered not to apply for NFA membership or principal status with any NFA Member at any time in the future. Should Parker attain Associate NFA membership at any time in the future, he was ordered to pay a $100,000 fine to NFA, due and payable in full within thirty days of attaining such status.

Lewis's Associate NFA membership was terminated on the date of the Decision and Lewis was ordered not to apply for NFA membership, Associate NFA membership or principal status with any NFA Member at any time in the future.
