Re: National Futures Association: Adoption of NFA Bylaw 306 and Resubmission of Proposed Adoption of NFA Compliance Rule 2-36

Dear Ms. Webb:

Pursuant to Section 17(j) of the Commodity Exchange Act, as amended, National Futures Association ("NFA") hereby submits to the Commodity Futures Trading Commission ("CFTC" or "Commission") the proposed adoption of NFA Bylaw 306. Furthermore, NFA hereby withdraws its May 24, 2001 original submission and its September 13, 2001 resubmission of the proposed adoption of NFA Compliance Rule 2-36, and hereby resubmits it for review and approval by the Commission. The proposals contained herein were approved by NFA's Board of Directors ("Board") on February 21, 2002. NFA respectfully requests Commission review and approval of these proposals.

Explanation of Proposed Amendments

NFA respectfully requests that the Commission review and approve the adoption of proposed NFA Bylaw 306 and proposed Compliance Rule 2-36. NFA also requests that the rule and bylaw be declared effective upon Commission approval.
