BYLAW 510. INFORMAL ACTION BY DIRECTORS.

Any action that must or may be taken at a Board meeting may be taken without a meeting if a consent in writing, setting forth the action so taken, shall be signed by all Directors then in office. This consent shall constitute a waiver of notice and meeting and shall have the same effect as a unanimous vote of all Directors.


Effective August 1, 2016, the above paragraph will read as follows:

Any action that must or may be taken at a Board meeting may be taken without a meeting if a consent in writing or by electronic submission, setting forth the action so taken, shall be signed or given by all Directors then in office. This consent shall constitute a waiver of notice and meeting and shall have the same effect as a unanimous vote of all Directors at the meeting.
