Dear Ms. Webb:

Pursuant to Section 17(j) of the Commodity Exchange Act, as amended, National Futures Association ("NFA") hereby submits to the Commodity Futures Trading Commission ("CFTC" or "Commission") proposed amendments to the Interpretive Notice to NFA Compliance Rule 2-34 Regarding Performance Reporting and Disclosures. This proposal was approved by NFA's Board of Directors ("Board") on February 19, 2004.

PROPOSED RULE AMENDMENTS

EXPLANATION OF PROPOSALS

NFA respectfully requests that the Commission review and approve the proposed amendments to the Interpretive Notice to NFA Compliance Rule 2-34 Regarding Reporting and Disclosures. NFA intends to make the amendments effective on May 1, 2004, to correspond with the effective date of Compliance Rule 2-34 and the Interpretive Notice, if the Commission approves the amendments prior to that date.
