Dear Ms. Webb:

Pursuant to Section 17(j) of the Commodity Exchange Act ("CEA"), as amended, National Futures Association ("NFA") hereby submits to the Commodity Futures Trading Commission ("CFTC" or "Commission") proposed amendments to Section 5 of NFA's Financial Requirements providing for the electronic filing of certain certified financial statements for introducing brokers. These proposals were approved by NFA's Board of Directors ("Board") on August 17, 2006.

PROPOSED RULE AMENDMENTS

EXPLANATION OF PROPOSALS

NFA is invoking the "ten-day" provision of Section 17(j) of the CEA. Unless the Commission notifies NFA that the Commission has determined to review the proposal for approval, NFA will make this proposal effective on the later of ten days after receipt of this submission by the Commission or the effective date of Commission regulations requiring non-broker-dealer IBs to file their Form 1-FR-IB certified financial statements electronically.
