Dear Ms. Donovan:

Pursuant to Section 17(j) of the Commodity Exchange Act, as amended, National Futures Association ("NFA") hereby submits to the Commodity Futures Trading Commission ("CFTC" or "Commission") the proposed amendments to NFA's Bylaws 306 and 1507; Compliance Rules 1-1, 2-36 and 2-39; Code of Arbitration Section 1; Financial Requirements Sections 1, 11 and 12; and the Interpretive Notice regarding Forex Transactions with Forex Dealer Members. This proposal was approved by NFA's Board of Directors ("Board") on August 17, 2006. NFA respectfully requests Commission review and approval of the proposed amendments.

EXPLANATION OF PROPOSALS

NFA respectfully requests that the Commission review and approve the proposed amendments to NFA's Bylaws 306 and 1507; Compliance Rules 1-1, 2-36 and 2-39; Code of Arbitration Section 1; Financial Requirements Sections 1, 11 and 12; and the Interpretive Notice regarding Forex Transactions with Forex Dealer Members.
