Dear Ms. Webb:

By letter dated September 10, 1998, National Futures Association ("NFA") submitted to the Commodity Futures Trading Commission ("Commission" or "CFTC") for its review and approval proposed amendments to NFA Compliance Rule 2-35. NFA hereby substitutes the previously submitted text of Rule 2-35 with the text set forth herein. Furthermore, NFA hereby submits a proposed new Interpretive Notice to Rule 2-35 concerning CPO Profile Documents. The proposals contained herein were approved by NFA's Board of Directors on February 17, 2000. NFA respectfully requests Commission review and approval of these proposals.
