Dear Ms. Webb:

Pursuant to Section 17(j) of the Commodity Exchange Act, as amended, National Futures Association ("NFA") hereby submits to the Commodity Futures Trading Commission ("CFTC" or "Commission") proposed amendments to NFA Bylaw 1301 and NFA Registration Rules 203, 501, 502, 504, 505, 507, 508, 509, and 510. The pro-posed amendments were approved by NFA's Board of Directors ("Board") on May 17, 2001.

Explanation of Proposed Amendments

NFA intends to make the proposed amendments to NFA Registration Rules 501, 502, 504, 505, 507, 508, 509, and 510 effective ten days after receipt of this submission by the Commission unless the Commission notifies NFA within the ten-day period that the Commission has determined to review the amendments for approval. While NFA is invoking the ten-day provision for NFA Bylaw 1301 and NFA Registration Rule 203 as well, NFA intends to make those amendments effective on July 1, 2001.

* The proposed amendments to NFA Registration Rules 501, 502, 504, 505, 507, 508, 509, and 510 became effective on June 4, 2001. The proposed amendments to NFA Bylaw 1301 and NFA Registration Rule 203 will become effective on July 1, 2001.
